Acceptance of Terms

By creating an account or using the SiteGauge website monitoring and competitor intelligence platform (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. In that case, "you" and "your" refer to the organisation.

If you do not agree to these Terms, do not use the Service.

Description of Service

SiteGauge provides a cloud-based platform that monitors web pages for changes and delivers AI-generated summaries of those changes. Features include, but are not limited to: scheduled URL crawling, content diffing, screenshot capture, AI change analysis, competitor intelligence, alert delivery, and team collaboration tools.

We reserve the right to modify, suspend, or discontinue the Service (or any feature) at any time with reasonable notice.

Accounts and Registration

You must provide accurate and complete information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.

You must immediately notify us at support@sitegauge.com if you suspect unauthorised access to your account. We are not liable for any loss arising from unauthorised use of your account where you have not notified us promptly.

You may not create accounts by automated means, create accounts for others without their consent, or share your account credentials with third parties (outside of the team member invitation feature).

Acceptable Use

You agree to use the Service only for lawful purposes and in a manner consistent with these Terms. You must not:

• Monitor URLs you do not have permission to access or that are protected by authentication you do not own.
• Use the Service to scrape, harvest, or collect personal data in violation of applicable privacy laws.
• Attempt to circumvent rate limits, abuse the crawl infrastructure, or use the Service in a way that degrades performance for other users.
• Use the Service to monitor websites for the purpose of facilitating illegal activity, fraud, phishing, or harassment.
• Reverse engineer, decompile, or attempt to extract source code from the Service.
• Resell or sublicence access to the Service without our written consent.
• Use the Service in violation of any third party's terms of service, including by monitoring pages that prohibit automated access via their robots.txt.

We respect robots.txt directives where technically feasible but do not guarantee compliance in all cases. You are responsible for ensuring your use of the Service complies with the terms and policies of the websites you monitor.

Plans and Billing

Free plan - available at no charge, subject to the usage limits described on our pricing page. We reserve the right to modify free plan limits at any time with 30 days' notice.

Paid plans - billed monthly or annually via Stripe. Prices are shown in your selected currency (GBP, USD, or EUR) and exclude applicable taxes. Prices may change with 30 days' notice.

Trials - paid plans may include a free trial period. You will not be charged until the trial period ends. You may cancel before the trial ends to avoid any charge.

Refunds - if you cancel within 7 days of your first paid charge and have not used the Service significantly, contact us for a full refund. We do not provide pro-rated refunds for partial billing periods after that.

Taxes - you are responsible for any applicable sales tax, VAT, or GST. We will add UK VAT where required by law.

Non-payment - if payment fails and is not resolved within 7 days, we may suspend or downgrade your account. Data is retained for 30 days after suspension before deletion.

Cancellation

You may cancel your subscription at any time from Settings → Billing. Cancellation takes effect at the end of your current billing period. You retain access to paid features until then.

To delete your account entirely, go to Settings → Danger Zone → Delete Account. This permanently removes your data within 30 days and cannot be undone.

Intellectual Property

Our IP - the Service, including its design, code, AI models, and documentation, is owned by SiteGauge and protected by copyright and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Service solely as described in these Terms.

Your data - you retain ownership of all data you input into the Service, including your list of monitored URLs, configurations, and any notes. By using the Service, you grant us a limited licence to process that data solely to operate and improve the Service.

Feedback - if you provide us with feedback or suggestions, we may use them without restriction or obligation to you.

Third-Party Content

The Service fetches and stores snapshots of third-party websites. We do not claim ownership of that content. You acknowledge that:

• Third-party website content is owned by its respective rights holders.
• We act as a neutral conduit and do not endorse or verify the content of monitored pages.
• We will respond promptly to valid takedown notices submitted to legal@sitegauge.com.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:
• The Service will be uninterrupted, error-free, or available at all times.
• Crawls will capture every change or capture changes in real time.
• AI-generated summaries will be accurate, complete, or suitable for any purpose.
• The Service will detect all changes to monitored pages.

You use the Service at your own risk. Any decisions made based on information provided by the Service are your sole responsibility.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SITEGAUGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) £100.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above may not apply to you.

Indemnification

You agree to indemnify and hold harmless SiteGauge and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the Service in violation of these Terms.
• Your violation of any third party's rights, including intellectual property or privacy rights.
• Content or data you submit to or through the Service.

Termination

We may suspend or terminate your access to the Service immediately if:

• You breach these Terms and fail to remedy the breach within 5 days of notice.
• Your use of the Service puts other users, our infrastructure, or third parties at risk.
• We are required to do so by law.
• You engage in fraudulent or abusive activity.

Upon termination, your right to use the Service ceases immediately. Clauses that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.

Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless you are a consumer entitled to the benefit of the laws of your country of residence.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email and/or by posting a notice in the dashboard at least 14 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service and may cancel your account.
